Please read these Terms and Conditions carefully before using our services. By engaging Map Kings LLC, signing a proposal, or making a payment, you agree to be bound by this Agreement.
Map Kings LLC ("Company," "We," "Us," or "Our") provides marketing services to you, the customer ("Client," "You," or "Your").
Your use of our services is subject to and governed by this Terms & Conditions Agreement ("Agreement") and the terms of any proposal, Statement of Work ("SOW"), or Order Form that you have entered into with us.
By accepting this Agreement — either by signing a proposal, clicking a box indicating your acceptance, or making any payment to Map Kings LLC — you agree to the terms of this Agreement. If you are entering into this Agreement on behalf of a company or legal entity, you represent that you have the authority to bind that entity to these terms. If you do not have such authority, or do not agree with these terms, you must not engage our services.
We reserve the right to update and change the terms of this Agreement at any time in our sole discretion. We will provide notice by updating this page and indicating the new effective date. Your continued use of our services following notice constitutes acceptance of the revised terms.
Map Kings LLC provides digital marketing services including, but not limited to:
The specific scope, deliverables, timeline, and pricing for each engagement will be defined in a separate proposal or SOW agreed upon by both parties. In the event of a conflict between this Agreement and a signed SOW, the SOW shall take precedence for that engagement.
Map Kings LLC does not guarantee specific results, rankings, revenue, or performance outcomes from any marketing campaign. Results are influenced by many external factors beyond our control. Any specific guarantees will be stated explicitly in writing in a signed SOW.
Our services may involve connecting to and using third-party products, platforms, or software (e.g., Google, Meta, Instagram, Facebook) under their own separate terms. Your use of such third-party platforms is governed solely by their terms and conditions. Map Kings LLC is not affiliated with, responsible for, or liable for any third-party platforms or the manner in which they handle your data.
To deliver certain services, we may require access credentials to your third-party accounts. By providing us with such credentials, you authorize Map Kings LLC to access those accounts solely for the purpose of providing the agreed services. We do not store, sell, or distribute your passwords to any third parties.
To enable Map Kings LLC to perform services effectively, the Client agrees to:
Project delays caused by the Client's failure to provide required materials, approvals, or feedback may result in timeline extensions or additional fees. Map Kings LLC is not liable for performance issues arising from delays caused by the Client.
Client agrees to indemnify and hold harmless Map Kings LLC against any damages, losses, or liabilities arising from a violation of the foregoing or from Client's use of our services.
Client will pay Map Kings LLC the fees described in the applicable proposal or Order Form. Unless otherwise agreed in writing:
Map Kings LLC reserves the right to adjust fees with thirty (30) days' prior written notice. If Client believes an invoice is incorrect, Client must contact us no later than 60 days after the invoice date to request an adjustment.
Unpaid amounts are subject to a finance charge of 1.5% per month on any outstanding balance, or the maximum permitted by law, whichever is lower. Map Kings LLC reserves the right to pause or suspend services for accounts more than 30 days past due.
All fees are non-refundable once work has commenced, unless otherwise specified in a signed SOW or agreed in writing by Map Kings LLC.
If the scope of work changes materially after project commencement, Map Kings LLC will issue a change order. Work on changed scope will not begin until the change order is approved and signed by the Client.
This Agreement is effective as of the date you accept it and continues for the term specified in the applicable proposal or SOW, renewing automatically unless either party provides written notice of non-renewal at least thirty (30) days prior to the end of the current term.
Either party may terminate this Agreement upon thirty (30) days' written notice. Map Kings LLC may terminate immediately and without notice if Client engages in illegal activity, fails to pay outstanding invoices after 30 days, or materially breaches this Agreement.
Upon termination:
Provisions relating to payment obligations, intellectual property, confidentiality, and limitation of liability survive termination of this Agreement.
Upon receipt of full payment, Map Kings LLC transfers ownership of final deliverables (e.g., logos, ad creatives, website files) created specifically for the Client under the applicable SOW. The following are expressly excluded from this transfer:
Map Kings LLC retains all right, title, and interest in the Services, software, and all improvements or enhancements thereto.
Map Kings LLC retains the right to display work created for the Client in our portfolio, case studies, and marketing materials, unless the Client requests confidentiality in writing prior to project commencement. If Client fails to fulfill payment obligations, Map Kings LLC reserves the right to use rendered work for promotional purposes and does not release copyright on such work.
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement ("Proprietary Information"), including business strategies, financial data, customer lists, and trade secrets. Each party agrees to take reasonable precautions to protect such information and not to disclose it to any third party without prior written consent.
Confidentiality obligations do not apply to information that: (a) is or becomes publicly available; (b) was already known prior to disclosure; (c) was independently developed; or (d) is required to be disclosed by law.
Confidentiality obligations survive termination of this Agreement for a period of five (5) years.
Map Kings LLC may share Client information with subcontractors or platform partners solely to the extent necessary to deliver agreed services, and only under appropriate confidentiality obligations.
Map Kings LLC shall have the right to collect and analyze aggregated or de-identified data relating to the use and performance of the Services for purposes of improving and enhancing its offerings.
Map Kings LLC will use commercially reasonable efforts to provide services in a professional manner consistent with industry standards. Services may be temporarily unavailable due to scheduled maintenance, emergency maintenance, or causes beyond our reasonable control. We will use reasonable efforts to provide advance notice of scheduled disruptions.
Except as expressly stated in a signed SOW, the Services are provided "as is." Map Kings LLC disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Map Kings LLC does not warrant that services will be uninterrupted or error-free, nor does it guarantee specific results from use of the services.
Map Kings LLC is not responsible for changes made to ad platforms, search engine algorithms, social media policies, or other third-party systems that may affect campaign performance.
Except for bodily injury of a person, Map Kings LLC and its officers, affiliates, representatives, contractors, and employees shall not be responsible or liable under any theory for: (a) errors or interruptions of service, or loss or inaccuracy of data; (b) any indirect, incidental, special, exemplary, or consequential damages; (c) any matter beyond Map Kings LLC's reasonable control; or (d) any amounts that exceed the total fees paid by Client to Map Kings LLC in the twelve (12) months prior to the act giving rise to the liability.
This limitation applies whether or not Map Kings LLC has been advised of the possibility of such damages.
This Agreement, together with any applicable Order Form or SOW, constitutes the complete and exclusive agreement between the parties and supersedes all prior written and oral agreements relating to its subject matter. All modifications must be in writing and signed by both parties, except as otherwise provided herein.
If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Agreement remains in full force and effect.
This Agreement is not assignable or transferable by Client without Map Kings LLC's prior written consent. Map Kings LLC may transfer or assign any of its rights and obligations without consent.
No agency, partnership, joint venture, or employment relationship is created as a result of this Agreement. In any action to enforce rights under this Agreement, the prevailing party will be entitled to recover reasonable costs and attorneys' fees.
All notices under this Agreement must be in writing and will be deemed delivered when: personally delivered; electronically confirmed if sent by email; the day after sending if sent via overnight delivery service; or upon receipt if sent by certified mail, return receipt requested.
This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws provisions.
Any dispute arising out of or relating to this Agreement that cannot be resolved through good-faith negotiation shall be submitted to binding arbitration in Oswego, New York, under the rules of the American Arbitration Association. Either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm. The prevailing party in any such proceeding is entitled to recover costs and attorneys' fees.
